Terms of Service

1. About these Terms

These Terms of Service ("Terms") are an agreement between you and PrepHub LLC ("PrepHub", "we", "us"), a limited liability company registered in the State of Georgia, United States. Lotlantic (formerly CarFinder) is the name of the website and service PrepHub operates; it is not a separate company. Our address is 8735 Dunwoody Place, Ste N, Atlanta, GA 30350, United States, and our e-mail is prephub.llc.biz@gmail.com.

These Terms cover the Lotlantic website, its accounts, listing pages and every service we provide through it (the "Service"). The Privacy Policy, the Refund and Cancellation Policy and the Content Removal Policy explain related topics; the Refund and Cancellation Policy is part of these Terms.

By creating an account, submitting a request or otherwise using features that need an account, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility and accounts

• You must be at least 18 years old to create an account or buy anything from us. If you use the Service for a business, you confirm that you may bind that business to these Terms.
• You need an e-mail address and a password, and you must confirm your e-mail address before you can sign in. Keep your account information accurate.
• Keep your password confidential and do not share your account. You are responsible for activity under your account until you tell us it has been misused.
• One account per person or business. We may refuse or close accounts created to get around these Terms, a suspension or a trial limit.

3. What the Service does and does not do

What it does. The Service lets you browse, search, filter and save vehicle and motorcycle listings that third parties published on online marketplaces (at present, Facebook Marketplace); see automated market comparisons and shipping estimates; share listing pages by link; and ask us to request more information from a seller (section 6). Listing pages can be opened by anyone with the link; the catalog and your account pages require you to sign in. At the date of these Terms the catalog is free to use and nothing can be bought inside the Service; the only paid service is the seller information request, priced individually as section 6 explains.

What it does not do. Lotlantic is a research tool. PrepHub does not sell, buy or own the vehicles shown, is not a dealer, broker, auction or escrow service, is not a party to any transaction between you and a seller, and does not take payment for vehicles or hold purchase funds. We do not negotiate, make offers, place deposits or sign anything on your behalf, and we do not inspect vehicles or verify a seller's identity, title, odometer reading or accident history. Any purchase is between you and the seller.

Estimates are estimates. Market comparisons (such as "good price"), mileage and price-history notes and shipping figures, including the delivered price shown on listing cards, are automated estimates for planning. They include assumptions and, for shipping, a service margin. They are not appraisals, quotes or offers, and actual prices and costs depend on the seller, the carrier, the route and timing. Any shipping arrangement is a separate agreement with whoever provides it.

4. What we do not promise, and changes to the Service

Coverage and timing. The catalog contains only the listings we have been able to collect, never every listing on a marketplace. We do not promise that any listing will appear in the Service or appear within any time after it is published, that it is accurate or still available, that it will stay in the Service for any period, or that any notice or update will reach you at a particular time or at all. History, trends and comparisons are built from the listings we collected and may be incomplete.

Third-party platforms. The Service depends on marketplaces and other services that we do not control and that may change, limit or block access without notice.

Changes. We may add, change, limit, pause or remove features, data sources, collection methods, regions, categories, update frequency and listings at any time, including to follow a platform's requirements, to respond to a complaint or legal request, or to protect the Service and its users. Features labelled beta, preview or experimental may be incomplete and may be withdrawn at any time. If a change permanently removes a paid feature you have already paid for, the Refund and Cancellation Policy applies.

5. Listings and other third-party content

• Listing titles, photos, descriptions, prices and locations come from sellers and marketplaces, not from PrepHub. They may be inaccurate, outdated, incomplete, duplicated or fraudulent, and a vehicle may already be sold. Check everything with the seller and the appropriate authorities before you pay, travel or ship.
• To build the catalog we store a copy of listing information and of the main listing photo, match makes and models against the public NHTSA vehicle catalog, and compute estimates. Each listing links to its original page; the marketplace's own terms apply when you follow that link.
• PrepHub does not own listing content and grants you no rights in it. Your use of listing content outside the Service is governed by the rights of its owners and by the law.
• PrepHub is independent of Meta Platforms, Inc., Facebook and every other marketplace. We are not affiliated with, endorsed by or licensed by them.
• We may correct, hide or remove any listing or content at any time, including at the request of a seller, a rights holder or a platform. Sellers and rights holders can ask us to remove content under the Content Removal Policy.

6. Seller information requests

What you ask for. On a listing page you can ask us to contact the seller and ask what the listing does not say, for example the VIN, title status, accident history, mechanical condition, service records, additional photos, availability and whether the price is negotiable. We report what we learn on your request page.

How we do it. Our personnel contact the seller through the marketplace's messaging, from accounts and devices operated by PrepHub, in PrepHub's name. We never use your accounts and we do not give the seller your identity unless you ask us to in writing. We use software, including artificial intelligence, to prepare, translate and summarize messages and reports, and some follow-up messages may be sent by our software under rules our personnel set and monitor.

The report. The report separates what the seller said, what the listing says, what we could not confirm and what went unanswered. Seller statements are the seller's claims, not facts checked by PrepHub. An item marked as verified by us is limited to the check the report describes and is never an inspection or a guarantee. A report may be partial if the seller does not reply, the listing disappears or time runs out; it then says what is missing. Any date we give for a report is an estimate.

What we do not guarantee. We do not guarantee that a seller will reply, answer truthfully or completely, keep the vehicle available, lower the price or sell to you. You are buying our effort to ask the questions and an accurate report of the answers, not a particular answer or outcome.

Price. At the date of these Terms the price is agreed with you before we start work and is not charged inside the Service. If we later charge for requests inside the Service, the price will be shown before you confirm a request. Refunds are covered by the Refund and Cancellation Policy.

Our right to decline. We may decline or stop a request we believe is deceptive, abusive, unlawful, against a platform's rules or outside this description, and we will tell you if we do.

7. AI and automated results

Parts of the Service are produced by software, including AI models, without a person checking every result: for example model matching, market comparisons, estimates, summaries of seller answers and draft messages. These results may be incomplete, out of date or wrong. They are not appraisals, mechanical inspections, or legal, financial or purchasing advice. Verify anything you rely on before you pay for, travel to or ship a vehicle.

8. Vehicle research reports (when offered)

At the date of these Terms we do not sell vehicle history or risk reports. If we offer one, it will combine information that is available to us (such as public vehicle data, recall information, listing and seller information, and vehicle history data from the sources named in the offer) with automated analysis, and the offer will describe what the report contains before you buy it. Any such report:

• depends on the information available, and vehicle history databases are often incomplete or delayed;
• may contain errors, including errors made by AI;
• is not a mechanical inspection, an official history report of any data provider, a warranty or a guarantee of a vehicle's condition, history or value.

9. Paid plans, trials and payments (when offered)

At the date of these Terms no subscription, plan or trial can be purchased or started. If we offer them, this section applies.

• Before you buy. The price, billing period, what is included, renewal terms and how to cancel are shown before you confirm. The terms shown at checkout apply to your purchase.
• Payment. Payments are processed by Stripe, Inc. or another payment processor named at checkout. You authorize us, through the processor, to charge your payment method the price shown plus applicable taxes. We do not store full card numbers.
• Automatic renewal. A subscription renews automatically for the same period at the then-current price until you cancel. We ask for your express consent to automatic renewal at checkout and send the receipts, reminders and notices that applicable law requires.
• Cancellation. You can cancel at any time online in your account or by e-mail. Cancellation stops future renewals; you keep paid features until the end of the period you already paid for.
• Failed payments. If a renewal payment fails, we tell you and may retry. If it is not paid within the period stated in our notice, we may suspend paid features and then end the subscription.
• Price changes. A new price for a plan you already have applies only from a renewal at least 30 days after we notify you, and after any consent the law requires. If you do not accept it, cancel before that renewal.
• Taxes. Prices are shown without taxes unless the checkout says otherwise; taxes we must collect are added at checkout.
• Trials. A trial's length, what it includes and what happens when it ends are shown before it starts. A trial that does not ask for a payment method ends without any charge and never turns into a paid subscription by itself. A trial that asks for a payment method converts to a paid subscription only if, before you provide the payment method, we show the price and the date of the first charge and you expressly agree; you can cancel online before that date and pay nothing. One trial per person or business; we may refuse or end a trial that is being misused.

10. Service Credits (when offered)

At the date of these Terms Service Credits ("Credits") cannot be bought or spent. If we offer them, this section applies.

• What a Credit is. One purchased Credit gives one United States dollar (USD 1) of purchasing power for services PrepHub provides in the Service. The price of each service is shown in Credits before you authorize it. Credits are not money, a bank deposit or a payment instrument, and PrepHub is not a bank.
• No expiry. Purchased Credits do not expire, whether or not you use your account. We do not charge inactivity fees.
• Use. Credits can be used only for PrepHub's services in the Service. They cannot be transferred, sold, used to pay a seller or anyone else, or exchanged for cash, except where the law requires a cash redemption. If a service you paid for with Credits cannot be performed at all, we return those Credits to your balance.
• Account closure. Closing your account does not forfeit purchased Credits. Before a closure is completed we tell you your remaining balance and how it will be settled, including any refund the law requires.
• Unclaimed property. Where state law treats an unused balance as unclaimed property, we may be required to report it and transfer it to the state, from which you can reclaim it.
• Promotional Credits. Credits we give you free of charge (for example in a promotion) are shown separately, follow the conditions stated when they are issued (including any expiry and the order in which they are used), have no cash value and are not refunded. They never change the rules for purchased Credits.
• Fraud, chargebacks and errors. If a payment that funded Credits is refunded, reversed, charged back or found to be fraudulent, we may remove the Credits it funded, and if they were already spent your balance may become negative until it is settled. We may correct obvious accounting errors in either direction and will tell you when we do.

11. Refunds and cancellation

Refunds and cancellation are governed by the Refund and Cancellation Policy. Nothing in these Terms limits refund, cancellation or withdrawal rights that applicable consumer law gives you and that cannot be waived.

12. Acceptable use

You agree not to:

• scrape, crawl, bulk-download, resell or redistribute data or content from the Service, or use it to build a competing dataset, without our written permission;
• share your account, get around access limits, or test the security of the Service without our permission;
• use the Service or information from it to harass, defraud, spam or mislead sellers or anyone else, or in breach of the law or of a platform's rules;
• infringe anyone's intellectual property, privacy or other rights;
• obtain paid services without paying, abuse trials, promotions or Credits, or dispute charges you authorized;
• upload malware or interfere with the Service.

13. Intellectual property

The Service's software, design, database structure, our trademarks and the text we write belong to PrepHub or its licensors. We give you a limited, personal, revocable, non-transferable right to use the Service to research vehicles under these Terms. You keep what you submit to us (for example your requests and saved listings) and allow us to use it to run the Service as the Privacy Policy describes. If you send us feedback, we may use it without any obligation to you.

14. Privacy

The Privacy Policy explains how we handle personal information, including that of sellers whose listings appear in the Service.

15. Suspension, termination and account closure

• By you. You can stop using the Service at any time and delete your account in your account settings or by e-mail. A request still being worked on, an unsettled Credit balance or a pending payment is resolved first, and we tell you how.
• By us. We may suspend, restrict or close an account, or stop providing a feature or the Service, if you materially breach these Terms, if the law requires it, if the account is used for fraud or creates a security or legal risk, while we investigate a complaint, or if we discontinue the Service. Where the law requires notice or a refund, we provide it; if we end a paid plan without cause, we refund the unused part of the period you paid for.
• What survives. Sections that by their nature should continue after termination (for example sections 5, 10, 11, 13 and 16 to 21) survive it.

16. Disclaimers

To the extent the law allows, the Service is provided "as is" and "as available". We do not warrant that the Service will be uninterrupted, secure or free of errors; that listings, estimates, reports or AI results are accurate, complete or current; that a seller is who they claim to be or will respond; or that a vehicle is available, as described, lawful to buy or roadworthy. We disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. Some places do not allow these exclusions, and there they apply only as far as the law permits.

17. Limitation of liability

To the extent the law allows:

• PrepHub is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, savings, data or opportunities, a vehicle that was sold to someone else, the timing or failure of any notice, the outcome of contact with a seller, consequences for your accounts on other platforms, or losses from buying a vehicle, even if we were told they were possible.
• PrepHub's total liability for all claims related to the Service is limited to the greater of USD 100 or the amount you paid PrepHub for the Service in the 12 months before the event that gave rise to the claim.
• These limits do not apply to fraud, gross negligence or willful misconduct, to death or personal injury caused by negligence, or to any other liability or consumer right that the law does not allow to be limited.

18. Claims caused by your conduct

If a third party makes a claim against PrepHub because you breached these Terms, used the Service or information from it unlawfully, or dealt with a seller or a marketplace in a way that gave rise to the claim, you will cover PrepHub's resulting losses and reasonable legal costs, to the extent the law allows. This does not apply to the extent the claim was caused by our own breach, negligence or unlawful conduct.

19. Disputes and governing law

• Talk to us first. Before starting a formal claim, e-mail us a description of the problem and what you want, and give us 30 days to resolve it with you. We will do the same before starting a claim against you. This does not stop either of us from going to small-claims court or seeking urgent relief.
• Law and courts. These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-laws rules. Claims are brought in the state or federal courts located in Georgia, or in any small-claims court that has jurisdiction. If you are a consumer and the law where you live gives you mandatory protections or the right to sue in your local courts, these Terms do not take them away.
• These Terms contain no arbitration agreement and no class-action waiver.

20. Changes to these Terms

We may update these Terms. The version date at the top changes with every update. For material changes we notify registered users by e-mail or in the Service before they take effect, and where the law requires your consent we ask for it. A change to the terms of a paid plan you already have applies from your next renewal. If you do not accept a change, stop using the Service and close your account; using the Service after a change takes effect means you accept it where the law allows. Your account records the version you accepted at registration.

21. General

• Events beyond our control. We are not responsible for delays or failures caused by events we cannot reasonably control, such as outages of hosting, payment or marketplace providers, platform blocks, changes in law, natural disasters or attacks.
• Severability. If part of these Terms is found unenforceable, it applies to the extent permitted and the rest remains in effect.
• No waiver. If we do not enforce a provision, we have not waived it.
• Assignment. You may not transfer these Terms. We may transfer them to a successor of our business, which will then be bound by them.
• Entire agreement. These Terms, together with the policies they refer to and any terms shown at checkout, are the whole agreement between you and PrepHub about the Service.
• Language. These Terms are written in English. If we show you a translation, the English text governs.
